Terms of Service and End-User License Agreement
By downloading, installing, activating, or using ThermoFluid Studio (the “Software”), you (“you”, “the user”) agree to these Terms. If you do not agree, do not install or use the Software.
1. License grant
Subject to your compliance with these Terms and payment of the applicable subscription fee, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on computers you control, on up to three active installation identifiers at a time, for the duration of an active subscription. An installation that has not validated for 30 days may release its slot automatically. The Software is licensed, not sold. We retain all right, title, and interest in and to the Software.
2. Subscription, price, and billing
- ThermoFluid Studio is offered as a single product at a single price: $9.99 per month, before any applicable customer tax. Every feature is included. There are no tiers, modules, or paid add-ons.
- Payments, receipts, and the customer billing portal are processed by Stripe, Inc. (“Stripe”). The seller of record is Rowan Baptista (sole proprietor). Applicable sales tax is calculated and collected at checkout via Stripe Tax where required.
- The subscription renews automatically each billing period until canceled.
3. Cancellation and refunds
You may cancel at any time through the customer portal without contacting us. Cancellation stops future renewals; access continues through the end of the paid billing period, after which the Software enters read-only mode. Refunds are governed by the Refund Policy.
4. License validation and offline use
The Software validates an active license over the internet and issues a signed offline lease so it continues to work without a constant connection. If a subscription lapses, is canceled, or a license cannot be validated beyond the permitted offline grace period, the Software transitions to a read-only mode in which you can still open existing projects, save project copies, and export results already present in the current session, but cannot run new solves or edit models. Project files do not embed prior solve results, so reopening a project does not recreate exportable results. We do not lock you out of your own project files.
5. Acceptable use
You agree not to: (a) copy, redistribute, resell, sublicense, rent, or lease the Software; (b) reverse engineer, decompile, or disassemble the Software except to the extent applicable law expressly permits despite this limitation; (c) circumvent license validation or share license keys; (d) remove or alter proprietary notices; or (e) use the Software in violation of applicable law or export controls.
6. Your projects and data
Your project files and all engineering calculations remain on your own computer. We do not upload, store, or process your models on our servers. You are solely responsible for backing up your project files.
7. The Software is a modeling aid — you remain the engineer
ThermoFluid Studio is a steady-state, lumped-parameter modeling aid. It assists a competent user in exploring thermodynamic and thermo-fluid system behavior. It is not a substitute for professional engineering judgment, for a licensed professional engineer’s review, for physical testing, for computational fluid dynamics, for structural/controls/safety analysis, or for compliance with any code, standard, or regulation.
You acknowledge and agree that:
- You are a competent professional (or supervised by one) and are solely responsible for the correctness, suitability, and safety of any design, decision, or system that relies in any way on output from the Software.
- You will independently verify every result — through hand calculations, established references, benchmarks, physical testing, and qualified review — before relying on it for any real-world purpose.
- The Software’s results are approximations produced by simplified models and third-party fluid-property data, and may contain errors, and may be wrong for your particular case.
- You will not use the Software as the sole or primary basis for any decision where a failure, inaccuracy, or defect could result in death, personal injury, property damage, environmental harm, or other significant loss (including, without limitation, the design of pressure equipment, refrigeration or HVAC systems, power systems, process plant, or any safety-critical or life-critical system) without independent qualified engineering verification and appropriate testing.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, ACCURATE, OR THAT ITS RESULTS ARE CORRECT, COMPLETE, OR SUITABLE FOR ANY PURPOSE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR ANY DAMAGES ARISING FROM DEATH, PERSONAL INJURY, PROPERTY DAMAGE, ENVIRONMENTAL HARM, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR ITS USE OR RESULTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you; in such jurisdictions our liability is limited to the smallest amount permitted by law.
10. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless ThermoFluid Studio and Rowan Baptista from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Software, (b) any design, product, system, or decision you create or make using or informed by the Software, or (c) your breach of these Terms.
11. Termination
We may suspend or terminate your license if you materially breach these Terms. On termination, you must stop using and remove the Software. Sections 6 through 10 and 12 survive termination.
12. Changes; miscellaneous
We may update these Terms; material changes will be posted with a new effective date. If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and us regarding the Software and supersede prior agreements. Our failure to enforce a provision is not a waiver.
